Terms of Service

These Terms govern access to and use of VSL's websites, platform, applications and APIs. Please read them carefully.

Plain-language summary

VSL provides an enterprise workflow for audio and video localisation, including translation, voice generation, dubbing and lip-sync.

You must have the rights and permissions needed for everything you upload and create.

You may not clone, imitate or use a person's voice or identity without proper authority.

You are responsible for reviewing and using all Output lawfully.

VSL may suspend or terminate access where these Terms, our Code of Ethics or applicable law are breached.

This summary is not part of the contract. If it conflicts with the Terms below, the Terms below control.

2.

Contracting entity and order of precedence

These Terms of Service form a binding agreement between you and the VSL entity identified in your order form, subscription, account documentation or other customer agreement.

If no VSL entity is identified, your agreement is with VSL Global Pte. Ltd., 32 Pekin Street #05-01, Singapore 048762.

Voice Sonic Labs Ltd, 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, may provide or contract for Services where the applicable documentation identifies it.

If an order form, enterprise agreement, DPA or other written agreement signed by VSL conflicts with these Terms, that written agreement controls for the relevant Services and to the extent of the conflict.

Definitions

Services means the VSL platform, websites, applications, APIs and related localisation services made available by VSL.
Input means any text, script, document, audio, video, image or other content you upload to or provide through the Services.
Output means content generated or processed by the Services from Input, including transcripts, translations, subtitles, synthetic audio, dubbed audio or lip-synced video.
Customer Content means Input and Output together.
Voice Data means audio recordings and voice characteristics used to create, operate or verify a voice model.
User Voice Model means a voice model derived from Voice Data that generates Output resembling a particular voice.
VSL Technology means VSL's and its licensors' software, models, systems, workflows, algorithms, interfaces, templates and documentation.
Public Figure means a celebrity, actor, musician, sports personality, politician or other individual whose identity is widely known.
4.

Eligibility, business authority and account security

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create or operate an account.

If you use the Services on behalf of an organisation, you represent that you have the authority to bind that organisation. The organisation is responsible for your use and the use of its authorised users.

You must provide accurate account information, keep credentials secure, maintain appropriate permissions and notify VSL promptly of suspected unauthorised access. You are responsible for activity under your account, except to the extent caused by VSL's breach of these Terms.

5.

The Services, provider routing and beta features

VSL provides an orchestration and workflow layer that may use VSL Technology and selected third-party providers to perform transcription, translation, voice generation, dubbing, audio processing and lip-sync.

Features, providers and technical routes may vary by plan, geography, configuration, availability and customer instruction.

VSL may offer features marked beta, preview, experimental or similar. Beta Services may change or be discontinued and may be less reliable. Unless an order form says otherwise, Beta Services are provided on an as-is and as-available basis to the fullest extent permitted by law.

6.

Customer Content and Ownership

5.1Your ownership

Between you and VSL, you retain your rights to Input. Subject to these Terms and any third-party rights, you own Output generated specifically for you.

Output does not give you ownership of VSL Technology, third-party models, software, workflows or pre-existing materials.

5.2Limited licence to VSL

You grant VSL and its authorised service providers a non-exclusive, worldwide, limited licence to host, store, process, reproduce, transmit, adapt and display Customer Content only as reasonably necessary to:

provide, maintain, secure and support the Services;
generate and deliver the requested Output;
follow your documented instructions;
investigate security, rights or misuse concerns;
comply with the law; and
enforce these Terms and applicable customer agreements.

Unless you expressly authorise it in writing, this licence does not allow VSL to use Customer Content or Voice Data to train general-purpose AI models.

5.3Your warranties

You represent and warrant that:

You have all rights, licences, permissions and lawful bases needed to provide Input and to generate, use and distribute Output;
You have appropriate authority and consent from each individual whose voice, likeness, performance or personal data appears in Customer Content;
Customer Content and your use of the Services will not infringe intellectual property, privacy, publicity, biometric, confidentiality, contractual or other rights;
Your use will comply with applicable laws, regulations and platform rules; and
You will not present generated or altered content as genuine where doing so would be deceptive or unlawful.
7.

Voice models, identity and verification

You may create or use a User Voice Model only for a voice you are authorised to use.

You must not provide Voice Data for another person unless you have that person's explicit, informed permission or another valid legal right to do so.

VSL may require verification recordings, consent records, identity documents, licences, agency authority or other evidence before creating, enabling, sharing or distributing a voice model.

Requests involving another person, a Public Figure, a minor or a higher-risk use may be restricted, delayed or refused. VSL may require additional contractual safeguards and may limit which providers or workflows can be used.

8.

Acceptable use and prohibited conduct

You must not use the Services to

clone, imitate or use a person's voice, likeness, identity or performance without valid authority;

deceive people about who is speaking or appearing;
commit fraud, phishing, extortion, impersonation, identity theft or social engineering;
create false endorsements, approvals, statements or evidence;
mislead voters, impersonate candidates or officials, suppress voting or manipulate civic processes;
harass, threaten, defame, exploit or target protected groups with hateful content;
sexualise, exploit, groom, deceive or otherwise harm a child;
process a minor's Voice Data outside the controlled enterprise process described in these Terms;
infringe copyright, trademark, privacy, publicity, confidentiality or other rights;
create or distribute unlawful, malicious or harmful content;
bypass safeguards, access controls, rate limits or usage restrictions;
probe vulnerabilities, introduce malware, scrape the Services or interfere with their operation;
resell or provide access to the Services except under a written agreement with VSL;
use Output or access to reverse engineer, extract or reproduce VSL Technology; or
use the Services for any unlawful purpose.

VSL may investigate suspected misuse, remove content, restrict a workflow, suspend an account, preserve relevant evidence, or refer a matter to rights holders or authorities, where appropriate.

9.

Review, accuracy and disclosure

AI-generated and AI-processed Output may contain errors, omissions, pronunciation issues, translation differences, timing issues, artefacts or other limitations. You are responsible for reviewing Output before publication, broadcast, distribution or operational use.

You are responsible for any disclosure or labelling required by law, regulation, contract or platform policy to identify content as AI-generated, AI-voiced, dubbed, translated or altered.

You must not remove provenance information, watermarks or technical disclosures that VSL applies to support trust and safety, unless VSL expressly permits it.

10.

Fees, subscriptions, usage and taxes

Plans, fees, usage limits, overage charges, payment terms and renewal periods are shown at purchase or in the applicable order form.

You authorise VSL and its payment provider to charge amounts due under the selected plan or agreement. You are responsible for applicable taxes, duties and bank fees unless the agreement says otherwise.

Subscriptions renew automatically, where this is clearly disclosed at purchase, unless cancelled before the renewal date. Cancellation stops future renewals and does not normally issue a refund for the current billing period.

Except where required by law or expressly stated in an order form, fees are non-refundable. Nothing in these Terms limits any mandatory consumer cancellation, refund or other statutory right.

11.

Third-party and bring-your-own-key providers

VSL may use third-party providers as part of the managed Services. VSL remains responsible for its obligations under the applicable agreement and DPA.

If you select a provider, connect an integration or use your own provider account or API key, that provider's separate terms and privacy practices may also apply. You are responsible for ensuring that the selected configuration is suitable for your use case.

VSL may stop using or supporting a provider where required for security, legal, quality, availability or commercial reasons.

12.

Confidentiality and data protection

VSL will use reasonable measures to protect Customer Content and confidential business information disclosed through the Services.

Information is not confidential if it is publicly available without breach, already lawfully known, independently developed, or received lawfully from another source without a duty of confidentiality.

VSL may disclose confidential information where required by law, provided it gives notice where legally permitted.

Personal data is handled in accordance with VSL's Privacy Policy and, where applicable, a DPA. A separate NDA or enterprise agreement controls, which provides stronger or more specific confidentiality obligations.

13.

VSL Technology and feedback

VSL and its licensors retain all rights in VSL Technology, including improvements, updates and derivative technology that do not contain Customer Content.

Subject to your Customer Content and confidential information, you may provide feedback. VSL may use that feedback without restriction or payment, but will not identify you publicly as its source without permission.

14.

Suspension, termination and deletion

You may stop using the Services at any time and cancel in accordance with the applicable plan or agreement.

VSL may suspend or terminate access where it reasonably believes:

you breached these Terms, the Code of Ethics or another applicable agreement;
Your activity creates a security, legal, rights or safety risk;
payment is overdue;
suspension is required by law, a provider or an authority; or
continued operation would materially threaten the Services or others.

Where reasonable, VSL will provide notice and an opportunity to remedy the issue.

After termination, your right to use the Services ends. Customer Content is handled under the Privacy Policy, DPA and applicable agreement. Provisions that by their nature should survive termination remain in effect, including ownership, confidentiality, payment obligations, disclaimers, liability limits, indemnities and dispute terms.

15.

Service changes and availability

VSL may improve, modify, replace or discontinue features or providers. VSL will not materially reduce paid enterprise functionality during a committed term without providing an appropriate alternative or the remedy stated in the applicable agreement.

Service levels, support commitments, and business-continuity obligations apply only where stated in an order form or enterprise agreement.

16.

Disclaimers

To the fullest extent permitted by law, the Services and Beta Services are provided on an as-is and as-available basis.

VSL does not warrant that the Output will be error-free, unique, legally compliant for your intended use or suitable without review. VSL disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement to the extent those warranties may lawfully be excluded.

Nothing in these Terms excludes a warranty, guarantee or right that cannot lawfully be excluded.

17.

Limitation of liability

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, breach of confidentiality or data-protection obligations to the extent they cannot lawfully be limited, or any other liability that cannot be excluded by law.

To the fullest extent permitted by law, VSL is not liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, business opportunity or data.

Subject to the exclusions above, VSL's total aggregate liability arising from the Services during any 12-month period is limited to the greater of:

the amounts paid or payable to VSL for the affected Services during that period; or
GBP 100.

An order form or enterprise agreement may set a different liability allocation.

18.

Business-user indemnity

If you use the Services for business purposes, you will indemnify VSL, its affiliates and their personnel against third-party claims, losses, damages and reasonable legal costs arising from:

Customer Content;
your unauthorised or unlawful use of a voice, likeness, performance or other protected material;
your use or distribution of Output; or
your material breach of these Terms.

This obligation does not apply to the extent the claim was caused by VSL's breach, negligence or wilful misconduct

19.

Export, sanctions and anti-corruption

You must comply with applicable export control, sanctions, anti-bribery, and anti-corruption laws. You must not use the Services for or on behalf of a prohibited person, territory or activity.

20.

Disputes and governing law

If a dispute arises, contact support@vslglobal.ai. The parties will first try in good faith to resolve it informally.

For business users, if the dispute is not resolved within 30 days, it will be finally resolved by arbitration administered by the London Court of International Arbitration under its rules. The seat will be London, the language will be English, and the tribunal will consist of one arbitrator.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules.

If you are a consumer, mandatory laws and rights in your country remain available to you. Nothing in this section prevents either party from seeking urgent injunctive relief or bringing a claim in a court where arbitration cannot lawfully be required.

21.

General

VSL may update these Terms from time to time. If a change is material, VSL will provide the required notice under law or contract. Changes do not retroactively alter an agreed committed term unless the applicable agreement permits it.

If a provision is unenforceable, the remaining provisions remain in effect.

You may not assign these Terms without VSL's consent. VSL may assign them in connection with a merger, acquisition, restructuring or sale of assets.

Failure to enforce a provision is not a waiver.

These Terms, together with any incorporated policies and applicable written agreements, constitute the complete agreement regarding the Services covered by them.
